Terms of Service
Effective May 12, 2026
These Terms of Service (“Terms”) govern your use of Wayfare (the “Service”), an application for splitting shared travel expenses and managing trips. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement and that the information you provide is accurate and complete.
2. Account
You are responsible for safeguarding your account credentials, including any third-party identity provider you use to sign in (e.g., Google). You agree to notify us immediately at hello@ctlyst.pro of any unauthorized access. We are not liable for losses arising from your failure to keep credentials secure.
You may delete your account at any time from the in-app Settings page. Deletion is permanent and removes your personal identifiers within 30 days, subject to limited retention for legal compliance.
3. Use of the Service
The Service is provided to help individuals track shared expenses and plan trips together. You may use the Service for personal, non-commercial purposes and for organizing expenses with your own group, family, or friends.
You agree not to:
- Use the Service in violation of any applicable law.
- Upload or transmit content that infringes intellectual property, violates privacy, or is illegal, defamatory, harassing, or fraudulent.
- Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
- Attempt to gain unauthorized access to other accounts, systems, or data.
- Interfere with the operation of the Service, send automated traffic, or scrape data beyond reasonable individual use.
- Use the Service to settle disputes, calculate balances, or process amounts that you cannot lawfully transact under your jurisdiction.
We may suspend or terminate accounts that violate these Terms, without prior notice for severe violations.
4. Your Content
You retain ownership of all content you create in the Service (expenses, descriptions, receipt images, notes, etc.). By using the Service you grant Wayfare a non-exclusive, worldwide, royalty-free license to host, copy, transmit, and display that content solely as necessary to operate, secure, and improve the Service for you and the members of your groups.
You are responsible for the accuracy of the expenses, balances, and settlements you record. Wayfare does not process payments and is not responsible for the actual transfer of money between you and other users.
5. No Financial Advice or Payment Processing
The Service helps you calculate and record amounts owed between members of your groups. It is not a payment processor, a money transmitter, or a financial advisor. We do not move money on your behalf. Any actual settlement of funds occurs outside the Service through means you choose (cash, bank transfer, third-party payment apps). We are not a party to those transactions.
6. Third-Party Services and Integrations
The Service may interoperate with third-party providers (Google, AWS, Foursquare, Open Exchange Rates, and others described in our Privacy Policy). Your use of any third-party service is governed by that provider’s terms. We are not responsible for the availability, accuracy, or content of third-party services.
7. Fees
The Service is currently provided free of charge. If we introduce paid features in the future, those features and their pricing will be clearly identified, and we will give you notice and the opportunity to decline before any charge is applied.
8. Termination
You may stop using the Service or delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if doing so is required to protect other users or the Service, or if we discontinue the Service. Provisions that by their nature should survive termination (e.g., ownership of content, disclaimers, limitations of liability, dispute resolution) will survive.
9. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that the data it computes (balances, settlements, forex conversions, AI-generated itineraries) is accurate or complete. You are responsible for verifying any amounts before making real-world payments.
10. Limitation of Liability
To the maximum extent permitted by law, Wayfare and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service is limited to PHP 1,000 (or the equivalent in your local currency).
11. Indemnification
You agree to indemnify and hold harmless Wayfare and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any third-party right.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of Metro Manila, Philippines, and you consent to personal jurisdiction there.
13. Changes to These Terms
We may update these Terms from time to time. We will revise the “Effective” date above and, when changes are material, notify you in-app or by email. Your continued use after the effective date constitutes acceptance.
